  • Overview

    Provide primary in-house paralegal support to the Office of the General Counsel.  Monitor and maintain various project timelines and matrixes.  Responsible for maintaining corporate records and filings and the organization and preparation of materials for the Board of Directors.  Report to senior management on status of projects. 


    • Provide support to the Board of Directors and its committees, including: coordinating meetings; drafting agendas; maintaining minute books; providing meeting materials, consents and questionnaires to the Board; preparing and reviewing annual Director & Officer Questionnaires and Independence Questionnaires; and on-boarding and off-boarding Directors.
    • Responsible for various annual state and federal regulatory filings and NASDAQ quarterly dividend notifications.
    • Responsible for SEC Section 16 Officer registration and filings and maintaining stock ownership levels.
    • Provide documentation for internal audit and regulatory examinations.
    • Conduct email searches, as requested, including bi-weekly searches in accordance with the office of the Chief Compliance Officer.
    • Assist in corporate transaction due diligence, as needed.
    • Assist on special projects as assigned (g., annual proxy statement, annual policy acknowledgments, departmental business continuity plan, annual insurance program renewals, etc.).
    • Assist with the preparation and filing of SEC periodic reports, including Form 8-K filings.

    • BS/BA Degree. Paralegal certificate strongly preferred.
    • Minimum of five (5) years’ experience service as a Paralegal in a law firm or in-house Paralegal at a public company.
    • High proficiency with Microsoft Office (Word, Excel, PowerPoint) and experience with web-based applications.
    • Project management experience a plus.
